Key responsibilities
Governing bodies also hold responsibility for determining the 'educational character and mission of the University and for oversight of its activities’. This responsibility cannot be delegated. However, the Articles also clearly set out those key responsibilities of the Vice-Chancellor and Academic Board in relation to academic governance.
The Board's other key responsibilities, which cannot be delegated to another body or individual, include:
- the effective and efficient use of resources, the solvency of the University and for safeguarding its assets;
- approving annual estimates of income and expenditure;
- the appointment, grading, suspension, dismissal and determination of the pay and conditions of service of senior post holders (the Vice-Chancellor and Chief Executive and University Executive).

- setting a framework for the pay and conditions of all other staff.
- the assignment and appraisal of the Principal (the Vice-Chancellor and Chief Executive).

Board of Governors membership consists of independent members, who must make up the majority of the Board, in addition to staff and student representatives and a nominee from the local council and a representative with a specialist background in education.
Independent governors and staff representatives are appointed for a three-year term and can serve a maximum of three terms. The student representatives change every year as these are ex-officio posts attached to the roles of the President of the Students' Union and the Student Representative Officer.

The names of suitable individuals with Sunderland/regional connections would be especially welcome. The University is committed to promoting principles of Equality and Diversity to achieve balance within the overall membership of the Board.
It would therefore welcome the nomination of members of currently under-represented groups on the Board. Meetings
Meetings of the Board of Governors and its associated Committees are serviced by the Legal and Governance Team. Meetings of the Board usually take place six times per year. The Chair and Vice Chair of the Board of Governors must be independent governors, although they are elected by the whole of the Board.
